Highly Accomplished Visionary with Proven Track Record of Leading Healthcare Businesses

Cerner Board Separates Chairman and CEO Roles and Names William Zollars Chairman of Board of Directors

Aug. 19, 2021 — Cerner Corporation (Nasdaq: CERN) today announced that its Board of Directors has appointed David Feinberg, M.D., MBA, as President and Chief Executive Officer, effective October 1, 2021. He succeeds Brent Shafer, who previously announced his decision to transition from chairman and CEO. Dr. Feinberg will serve as a member of the Board of Directors. Cerner’s current President, Donald Trigg, will leave Cerner. Cerner’s Board of Directors also announced that it will separate the roles of chairman and Chief Executive Officer and has appointed William Zollars as independent chairman, also effective October 1, 2021.

Dr. Feinberg, 59, has served in numerous senior leadership roles during his more than 25-year career in healthcare, and joins Cerner from Google. Since 2019, Dr. Feinberg was the Vice President of Google Health, where he led Google’s worldwide health efforts, bringing together groups from across Google and Alphabet that used artificial intelligence, product expertise and hardware to tackle some of healthcare’s biggest challenges, and was responsible for organizing and innovating Google’s various healthcare initiatives. Prior to Google, he served as President and CEO of Geisinger Health—a physician-led health system, and one of the nation’s most innovative health services organizations. At Geisinger, Dr. Feinberg led an operational turnaround, and pushed the use of new platforms and tools, including an IT system called a Unified Data Architecture that allowed the company to integrate big data into existing data analytics and management systems. During his Geisinger tenure, Dr. Feinberg also introduced programs and services to put a greater focus on precision medicine and better patient care. Prior to Geisinger, Dr. Feinberg worked at UCLA for more than 20 years and served in a number of leadership roles, including President, CEO and Associate Vice Chancellor of UCLA Health Sciences, Vice Chancellor and CEO for the UCLA Hospital System, and CEO of UCLA’s Ronald Reagan Medical Center. Throughout his career, Dr. Feinberg has been driven by a passion to leverage technology to better-enable providers to deliver the very best clinical care.

“Over the past few months, our Board conducted an extensive search for a CEO candidate with the expertise and ability to effectively capitalize on the opportunities in the market we serve,” said Mitch Daniels, member of the Cerner Board and Chair of the Nominating, Governance and Public Policy Committee. “With his exceptional track record of leading and innovating programs to improve patient care, technology experience, and industry expertise, we believe Dr. Feinberg is the ideal CEO to lead Cerner in its next chapter of growth and success.”

“On behalf of the entire Cerner Board and organization, I want to thank Brent for his dedicated service and commitment to transforming Cerner over the last three-plus years and express our appreciation that he will ensure a smooth transition,” said William Zollars, lead independent director and incoming chairman of the Board. “We are fortunate to have someone with Dr. Feinberg’s skills, vision and operational expertise to lead Cerner at such a pivotal time in our evolution. We are thrilled to welcome him to the Cerner family and look forward to benefiting from his insights and leadership as we continue evolving and executing our strategies.”

“I am honored to join Cerner and look forward to working closely with Cerner’s talented associates as we continue to profitably grow the business by driving global healthcare transformation,” Dr. Feinberg said. “Throughout my career, I’ve been guided by the goal of improving patient health and reducing the complexity of the healthcare system. I am thrilled to join a company that is so uniquely well-positioned to provide technology solutions that enable clinicians to take better care of patients while driving better clinical, operational, and financial outcomes for organizations of all sizes. I look forward to expanding opportunities for Cerner clients and associates while affecting real change in healthcare and enhancing value for our shareholders.”

“Cerner will be well-served under Dr. Feinberg’s capable leadership,” Mr. Shafer said. “Dr. Feinberg has had an exceptional career in healthcare, and his industry expertise, patient-centric mindset, and organizational leadership experience make him ideally qualified to lead the company through its next chapter. I am delighted to work closely with Dr. Feinberg as we begin the transition.”

Mr. Zollars said, “I would like to thank Don for his impact at Cerner. He has helped shape the trajectory of the company and our role within the industry. We wish him the best in his future endeavors.”

August 19, 2021 – MDVIP, the national leader in personalized membership-based healthcare, today announced that the Private Equity business within Goldman Sachs Asset Management (“Goldman Sachs”) and Charlesbank Capital Partners (“Charlesbank”) have entered into a definitive agreement to acquire majority ownership of MDVIP from Leonard Green & Partners (“LGP”) and Summit Partners.

Founded in 2000, MDVIP leads the market in membership-based healthcare with a national network of over 1,100 primary care physicians serving 357,000 patients. In the MDVIP model, doctors have smaller practices compared to those in traditional, high-volume medicine. This allows them to spend more time with patients and provide attentive, individualized care with an emphasis on preventive health and wellness. MDVIP has achieved unrivaled patient satisfaction scores, which in addition to its annual membership renewals, consistently exceed 90 percent.

“The past 18 months have been a catalyst for Americans to become more engaged in their health, and many are recognizing the need for better prevention and coaching from a primary care doctor who really knows them,” said MDVIP Chairman and CEO Bret Jorgensen. “For 21 years, MDVIP has built and scaled its physician practice model to meet this consumer demand, and the market for our services will continue its momentum. This investment by Goldman Sachs and Charlesbank speaks to the strength and resiliency of our business model, and we are excited to partner with them as we embark on our next phase of growth.”

As part of its growth strategy, MDVIP is continuously expanding its portfolio of services to meet the needs of new customer segments. For example, the company is working with hospital systems to incorporate the MDVIP model into their primary care offering. To address the unique health concerns of women, the company has introduced a Women’s Health Program that pairs gynecological health with preventive primary care.  These are in addition to the company’s existing partnerships with employers to offer an executive health program as a benefit to employees.

“MDVIP has an impressive track record of delivering business growth to investors and proven healthcare outcomes that benefit patients, physicians and the healthcare system at large,” said Jo Natauri, Partner and Global Head of Private Healthcare Investing within Goldman Sachs Asset Management. “The company’s history and ability to adapt to a rapidly changing healthcare environment make it a strong addition to our investment portfolio, and we look forward to partnering with Charlesbank and the MDVIP management team.”

“MDVIP has a proven and innovative business model that represents the best in membership medicine,” said Brandon White, Managing Director at Charlesbank. “We are excited to back this talented management team as they build on their historical track record of outstanding services for physicians and members alike.” Added Josh Beer, also a Charlesbank Managing Director, “We look forward to working with Goldman Sachs to help MDVIP accelerate its growth and further solidify its position as the market leader in this consumer-driven healthcare landscape.”

Over time, the MDVIP primary care model has improved patient outcomes as demonstrated by clinical data published in ten peer-reviewed studies. The research shows that patients in MDVIP-affiliated practices have fewer heart attacks and strokes, better chronic care management of diseases like diabetes and high blood pressure, and more preventive screenings including regular colonoscopies, mammograms and bone density scans. Compared to patients in traditional practices, MDVIP members have also experienced reduced hospitalizations, lower hospital readmission rates and fewer visits to urgent care centers and emergency rooms, which have led to significant cost savings to the healthcare system.

Alyse Wagner, Partner at LGP, commented, “MDVIP continues to transform primary care for Americans across the country. It has proven to be a successful model for both doctors and patients, and we have great confidence in the future of its business.”

MDVIP Chairman and CEO Bret Jorgensen added, “This is a pivotal moment for U.S. healthcare companies, and we appreciate the support we received from Leonard Green & Partners and Summit Partners. We also thank our community of physicians, members and employees who every day are advancing MDVIP’s purpose of ‘making healthier lives happen.’”

The transaction is expected to close in Q4 following receipt of customary regulatory approvals. Financial terms were not disclosed.

About MDVIP

MDVIP, which celebrated its 20th anniversary last year, has been a Great Place to Work-Certified® company since 2018 and is recognized by Fortune as one of the 2021 Best Workplaces in Healthcare. Florida’s two largest health organizations, the Florida Hospital Association and the Florida Medical Association released a new series of public service announcements today promoting COVID-19 vaccines in English and Spanish. Partnering with the Florida Association of Broadcasters and hundreds of radio and television stations in every market in the state, these ads will run through the end of November. The broadcast spots will be supported by statewide digital advertising.

“The overwhelming majority of the people currently hospitalized with COVID-19 in Florida are unvaccinated,” said Mary C. Mayhew, President and CEO of the Florida Hospital Association. “The delta variant is ravaging younger and unvaccinated people. If you don’t think this could happen to you, listen to one of our nurses sadly recall the passing of a young woman in her 30s who left behind a husband and three young children.”

“Young people may think they are invincible, but there are many after-effects of getting COVID-19 that physicians are seeing having an impact on their younger, unvaccinated patients,” said Doug Murphy Jr., MD, President of the Florida Medical Association. “Long-term health concerns shouldn’t be a lifetime sentence for those who took a chance in not getting the vaccine. Don’t take that chance. Get vaccinated.”

60-second TV Public Service Announcement / English – “Mommy”

Juana Diaz, RN – COVID-19 ICU: “We’re still in the same circumstances that we were when there wasn’t a vaccine. Where you’re watching people just pass away. You know, and just — it’s so devastating to watch unfold. We had someone in her 30s, a young mommy. She left her husband and three little kids, ages four, two, eight. They’re saying, ‘Mommy, come home. Mommy, I miss you.’ She’s not saying anything because she’s intubated. It’s rough. It’s rough to watch every day. It’s very rough.”

30-second TV Public Service Announcement / Spanish – “Normal”

30-second Radio Public Service Announcement / English – “After Effects”

Dr. Sanjay Pattani – Emergency Medicine Physician: “My name is Sanjay Pattani, and I’m an emergency medicine physician. It’s the after effects of getting COVID that the young population should be concerned about. There’s chronic fatigue syndrome, blood clotting disorders, heart problems. There are long chronic lung problems. The essence of this vaccine is not to prevent you from getting coronavirus. It is from preventing you from getting seriously ill and potentially dying.”

Additional PSAs will be released for broadcast and on social media in the future. The PSAs were filmed with Florida physicians and nurses in an unscripted setting.
