Whether you are doing business as a corporation, limited liability company, limited partnership, or a limited liability limited partnership, you must file your 2012 Annual Report with the Florida Department of State by May 1, 2012.
 
Annual Report filing fees vary depending on the type of entity filing the report as follows:

Failure to file the report by the May 1st deadline will result in the imposition of a $400 late fee. This late fee cannot be waived. Business entities that do not file an Annual Report by the third Friday in September will be administratively dissolved by the Florida Department of State at the close of business on the fourth Friday in September. Once an entity has been administratively dissolved it may be reinstated only upon submission of the appropriate reinstatement form and payment of the applicable fees.
 
The purpose of the Annual Report is to confirm or update the Florida Department of State’s records regarding your business. Changes to the registered agent and/or registered office address, the principal office address or mailing address of your business should be reported on the Annual Report. A change to the name of your business, however, must be done by filing an amendment with the Florida Department of State.
